Terms of Service

These Terms of Service ("Terms") govern your use of the Maple Trades website and our procurement and sourcing services. By using our website, booking a call, or engaging our services, you agree to these Terms. Please read them carefully.
1. Our services
Maple Trades provides procurement and sourcing services, which may include manufacturer prospecting and verification, sample coordination, customisation, quality control, contract and price negotiation, and shipping coordination. We act as an intermediary and coordinator between you and third-party manufacturers and suppliers. We are not the manufacturer of any product and do not take title to the goods unless expressly agreed in writing.
2. Fees and payment
Fees for each package are set out on our pricing page. Onboarding and project charges, and any order management fees, are payable as described in your agreement with us. All prices are quoted in Canadian dollars and are exclusive of GST and any other applicable taxes, duties, or third-party costs such as manufacturing, samples, and freight. Promotional pricing, including any launch discount, applies only while offered and to the charges specified.
3. Quotes and estimates
Sourcing quotes, timelines, and cost estimates are based on information available at the time and on third-party manufacturer pricing, which can change. Estimates are not guarantees. Final costs depend on factors such as materials, quantities, specifications, and shipping.
4. Your responsibilities
- Provide accurate, complete, and lawful information and instructions.
- Confirm that you own or are licensed to use any designs, trademarks, logos, or other intellectual property you provide, and that your products do not infringe third-party rights.
- Comply with all applicable import, export, labelling, safety, and consumer-protection laws for the products you sell.
- Review and approve samples and specifications before production proceeds.
5. Third-party manufacturers
We vet manufacturers with reasonable care, but we do not control them and cannot guarantee their performance, product quality, or delivery. Your purchase of goods is a contract between you and the manufacturer or supplier unless we agree otherwise in writing. We are not responsible for the acts, omissions, or products of third parties, though we will use commercially reasonable efforts to help resolve issues.
6. Intellectual property
You retain ownership of the intellectual property you provide to us. You grant us a limited licence to use it only to deliver our services. Content on this website, including the Maple Trades name and logo, is owned by Maple Trades and may not be used without permission.
7. Confidentiality
We treat your project information as confidential and use it only to provide our services, except where disclosure is necessary to engage manufacturers and providers on your behalf or is required by law.
8. Cancellation and refunds
Cancellation and refund terms for each engagement are set out in your agreement with us. Onboarding and project charges cover work performed and may be non-refundable once that work has begun. Nothing in these Terms limits any non-waivable rights you may have under the British Columbia Business Practices and Consumer Protection Act or other applicable consumer-protection law.
9. Limitation of liability
To the fullest extent permitted by law, Maple Trades is not liable for any indirect, incidental, special, or consequential loss, or for lost profits, loss of goods, or manufacturer default. Our total liability for any claim arising from our services will not exceed the fees you paid to us for the specific engagement giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold Maple Trades harmless from claims, damages, and costs arising from your products, your use of our services, your instructions, or your breach of these Terms or of any third-party rights or laws.
11. Governing law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there. You agree to the exclusive jurisdiction of the courts of British Columbia for any dispute, subject to any non-waivable rights you have under applicable law.
12. Changes to these Terms
We may update these Terms from time to time. The effective date above shows when they were last revised. Continued use of our website or services after an update means you accept the revised Terms.
